Terms of Service

Welcome to Thomus LLC. These Terms of Service govern your access to and use of our software consulting, design, and development offerings. By engaging with Thomus LLC you agree to the clauses below.

1. Professional engagement

Project scopes, deliverables, fee structures, and timelines are defined in individual statements of work (SOW). Each SOW inherits these Terms unless superseded in writing. Thomus LLC may collaborate with vetted partners, yet remains accountable for final delivery.

2. Client obligations

Clients provide accurate information, timely feedback, and decision access to stakeholders. Delays in approvals or required materials may shift delivery dates. Client-supplied assets must be properly licensed for use in the project.

3. Intellectual property

Upon full payment, clients receive ownership of bespoke software, design assets, and documentation created specifically for the engagement. Thomus LLC retains rights to pre-existing tools, accelerators, and methodologies used to deliver the work.

4. Confidentiality

Both parties agree to safeguard confidential information shared during the engagement. Materials labeled confidential or reasonably understood as sensitive must not be disclosed without prior consent unless required by law.

5. Payment & invoicing

Standard invoicing occurs at project kickoff and at predefined milestones. Invoices are due within 15 days. Late payments may pause work and accrue a 1.5% monthly service charge.

6. Warranty & limitations

Thomus LLC warrants that deliverables will materially conform to documented requirements for 30 days post-handover. We are not liable for damages arising from third-party integrations, client modifications, or misuse outside agreed user scenarios.

7. Termination

Either party may terminate engagement with 15 days written notice. Clients are responsible for work completed up to the termination date. Non-payment or material breach may result in immediate suspension.

8. Governing law

These Terms are governed by the laws of the Republic of Armenia. Any disputes will be resolved through the competent courts in Yerevan, Armenia.
